Welcome to Promage IO. These terms govern your use of our platform and services. By creating an account, you agree to these terms. Please read them carefully.

1. Definitions

"Promage IO," "we," "us," "our" refers to Promage Marketing and Media Limited (RC: 9197483), a Nigerian company.

"Services" means all features, tools, and support provided through the Promage IO platform, including software access, AI automation, training materials, and community membership.

"You," "your," "user" refers to the individual or business entity using our Services.

"Account" means your registered Promage IO user account.

"Subscription" means your paid membership plan.

2. Acceptance Of Terms

By accessing or using Promage IO, you confirm that:

  • You are at least 18 years old
  • You have the authority to enter this agreement
  • You will comply with all applicable Nigerian laws
  • All information you provide is accurate

If you represent a business, you confirm you have authority to bind that entity to these terms.

3. Account Registration

Creating An Account:

  • Provide accurate, complete information
  • Maintain the security of your login credentials
  • Notify us immediately of unauthorized access
  • You are responsible for all activity under your account

Account Restrictions:

  • One account per business entity
  • Do not share login credentials
  • Do not create multiple accounts to abuse promotions
  • Do not use the platform for illegal purposes

4. Subscription Plans And Billing

Plan Types:
We offer various subscription plans with different features and pricing. Current plans and pricing are available on our pricing page.

Billing:

  • Subscriptions auto-renew unless cancelled
  • Payment due on the same date each billing cycle
  • Annual plans are billed upfront
  • Price changes apply to new subscriptions only (existing members locked at their current rate unless notified otherwise)

Payment Methods:

  • Paystack (cards, bank transfer)
  • Flutterwave (cards, bank transfer)
  • Direct bank transfer (manual verification required)

Failed Payments:
If payment fails, we'll notify you. Your account may be suspended after 7 days of non-payment. Data is retained for 30 days to allow payment resolution.

5. Usage Credits And Allocations

Certain subscription plans include monthly usage credits (referred to as "airtime" or "credits") for:

  • Email sending
  • SMS sending
  • WhatsApp Business API integration
  • AI content generation

Credit Rules:

  • Credits are allocated monthly based on your plan
  • Unused credits do not roll over to the next month
  • Additional credits can be purchased separately
  • Specific allocation amounts are detailed in your plan description

6. Affiliate Program

If you participate in our affiliate program:

Commission Structure:

  • Earn recurring commission on referrals
  • Paid monthly at month-end
  • Minimum payout threshold applies

Rules:

  • No spam or deceptive marketing
  • No false claims about Promage IO
  • Commissions end when referred user cancels
  • We reserve the right to revoke affiliate status for violations

7. Community Access

Certain subscription plans include access to our training community, which may include:

  • Live training calls
  • Educational materials and frameworks
  • Member community access
  • Case studies and resources

Community Guidelines:

  • Be respectful and professional
  • No spam or self-promotion without permission
  • Share genuinely helpful content
  • Respect intellectual property

Violations may result in community removal without refund.

8. Acceptable Use Policy

You May:

  • Use Services for legitimate business purposes
  • Install automation for your own business
  • Share content within community guidelines
  • Refer others through approved programs

You May Not:

  • Use Services for illegal activities
  • Spam customers or violate anti-spam laws
  • Scrape or reverse-engineer our platform
  • Resell or redistribute our software
  • Share login credentials with others
  • Use automation to harass or deceive people
  • Violate third-party platform policies (Instagram, WhatsApp, Facebook)

9. Intellectual Property

Our IP:
All content, software, designs, logos, and training materials are owned by Promage Marketing and Media Limited. You receive a limited, non-exclusive license to use our platform during your subscription.

Your IP:
You retain ownership of your business data, customer information, and content created using our platform. You grant us permission to process this data to provide Services.

Templates And Resources:
Pre-built templates and resources are licensed for your use only. Do not redistribute or resell.

10. Third-Party Integrations

Platform Integrations:
We integrate with Instagram, Facebook, WhatsApp, and other platforms. Your use of these integrations is subject to their respective terms of service.

Your Responsibility:

  • Ensure compliance with third-party platform policies
  • Obtain necessary permissions to message customers
  • Maintain proper authentication and access tokens

We are not responsible for third-party platform changes, suspensions, or violations of their terms.

11. Service Availability

Uptime Commitment:
We strive for high uptime but cannot guarantee uninterrupted service due to:

  • Scheduled maintenance (announced in advance when possible)
  • Third-party platform outages
  • Internet connectivity issues
  • Force majeure events

No Liability:
We are not liable for business losses resulting from service interruptions, provided we act in good faith to restore service quickly.

12. Data Ownership And Backup

Your Data:
You own all customer data, messages, and business information processed through Promage IO.

Backups:
We perform automated backups, but you are responsible for maintaining your own backups of critical data.

Data Export:
You can export your data at any time through the platform or by requesting assistance from [email protected].

13. Cancellation And Account Termination

Cancellation:

  • You may cancel your subscription at any time
  • Access continues until the end of your current billing period
  • Specific refund policies are outlined in our separate Refund Policy

Account Deletion:
After cancellation, your data is retained for 90 days (to allow reactivation), then permanently deleted.

14. Limitation Of Liability

To the maximum extent permitted by Nigerian law:

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss (maintain your own backups)
  • Third-party platform bans or suspensions
  • Customer complaints about your use of automation

Maximum Liability:
Our total liability is limited to the amount you paid in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold Promage Marketing and Media Limited harmless from claims, damages, or expenses arising from:

  • Your violation of these terms
  • Your violation of third-party platform policies
  • Your use of automation to spam or harass
  • Unauthorized access resulting from your failure to secure credentials

16. Dispute Resolution

Governing Law:
These terms are governed by the laws of the Federal Republic of Nigeria.

Dispute Process:

  2. If unresolved, mediation in Port Harcourt, Rivers State
  3. If mediation fails, arbitration under Nigerian Arbitration and Conciliation Act

No Class Actions:
Disputes must be resolved individually, not as part of class action.

17. Changes To Terms

We may modify these terms periodically. Changes will be posted on this page with updated effective date. Continued use after changes constitutes acceptance.

Material Changes:
For significant changes affecting your rights, we'll notify you via email in advance when possible.

18. Termination By Us

We May Suspend Or Terminate Your Account If:

  • You violate these terms
  • You engage in fraudulent activity
  • Payment fails repeatedly
  • You abuse or harass our staff
  • Legal requirements mandate termination

Effect Of Termination:

  • Access to Services ends immediately
  • Refund eligibility determined by our Refund Policy
  • Data deleted after 90-day retention period

19. Miscellaneous

Entire Agreement:
These terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement.

Severability:
If any provision is found invalid, the rest remains in effect.

No Waiver:
Our failure to enforce any right doesn't waive that right.

Assignment:
You may not transfer your account. We may assign our rights to a successor entity.

Force Majeure:
We are not liable for delays or failures due to circumstances beyond our control (natural disasters, government actions, internet outages, etc.).
